Bain Capital Special Situations Takes ~20% Stake in IMS Nanofabrication from Intel

Bain Capital Special Situations agreed to acquire an approximately 20% minority stake in IMS Nanofabrication GmbH from Intel in a deal that values IMS at about $4.3 billion. The investment (expected to close in Q3 2023) will leave IMS operating as a standalone subsidiary led by CEO Dr. Elmar Platzgummer and is intended to accelerate the company's technology innovation and market expansion in multi-beam mask writing for advanced semiconductor nodes.

Diodes Incorporated Acquires onsemi's South Portland 200mm Fab

Diodes Incorporated has completed the acquisition of onsemi’s operational 200mm wafer fabrication facility in South Portland, Maine (SPFAB). The divestiture allows onsemi to redeploy production to other fabs as part of its fab-liter strategy while Diodes gains U.S. 200mm capacity to support growth in automotive and industrial end markets.

Diodes Incorporated has completed the acquisition of onsemi's South Portland, Maine wafer fabrication facility and operations (SPFAB). The transaction transfers SPFAB employees to Diodes and includes a multi-year wafer supply agreement under which Diodes will continue manufacturing onsemi products while Diodes ramps additional CMOS and BiCMOS capacity to support automotive and industrial end markets.

Freestone Partners Acquires Assets of Warfab Industries, Inc.

Freestone Partners, a Houston-based private equity firm, acquired the assets of Warfab Industries, Inc. in partnership with Warfab management. Warfab, headquartered in Hallsville, Texas, provides heavy industrial repair, maintenance, fabrication and machining services serving mining, heavy steel, railcar and energy customers across multiple countries; the deal is intended to expand Warfab’s product offerings and geographic reach.

Integrated Water Services and Sciens Water Acquire Hyperion International Technologies

Integrated Water Services, in partnership with Sciens Water Opportunities Management (an affiliate of Sciens Capital), acquired 100% of Hyperion International Technologies, a control-systems and engineering services provider for water and wastewater markets. The deal expands IWS’s product and digital services capabilities in modular MBR and wastewater reuse technologies; Hyperion’s General Manager Scott Johnson will lead the business as Al Ouchie transitions to retirement.

INFICON Acquires All Assets of FabTime Inc.

INFICON has acquired all assets of FabTime Inc., a San Luis Obispo–based specialist in cycle time management software for semiconductor manufacturers, effective January 18, 2024. The acquisition expands INFICON's Smart Manufacturing product suite and strengthens its semiconductor factory optimization and process-control capabilities; financial terms were not disclosed.
