Tempur Sealy (Somnigroup) Acquires Mattress Firm

Tempur Sealy International, Inc. signed a definitive agreement to acquire Mattress Firm, the U.S.'s largest mattress specialty retailer, in a transaction first announced at an approximate $4.0 billion enterprise value and completed in February 2025 with a reported total purchase price of roughly $5.0 billion. The deal was funded with approximately $2.7 billion of cash and the issuance of 34.2 million Tempur Sealy shares; following closing Tempur Sealy renamed itself Somnigroup International and will operate Mattress Firm as a decentralized business unit while divesting a portion of retail locations and the Sleep Outfitters business to MW SO Holdings (Mattress Warehouse).

Tempur Sealy International agreed to acquire an approximately 80% stake in Sherwood Acquisition Holdings, LLC ("Sherwood Bedding") for about $40 million, financed with cash on hand and borrowing under existing credit facilities. The Ellman family will retain a 20% interest, and Sherwood Bedding will operate as a standalone business unit led by its current management to allow Tempur Sealy to enter the private-label/OEM bedding market and expand its product suite.

Fairfax Financial Holdings, through a newly formed wholly-owned subsidiary 16133258 Canada Inc., completed a cash takeover of Sleep Country Canada Holdings Inc. under a court-approved plan of arrangement, paying C$35.00 per common share. Sleep Country will be delisted from the TSX and cease reporting as Fairfax takes the specialty mattress retailer private.
