VIAVI Acquires Spirent's High‑Speed Ethernet, Network Security and Channel Emulation Testing Business

VIAVI Solutions Inc. completed the all-cash acquisition of Spirent Communications plc’s high‑speed ethernet, network security and channel emulation testing business from Keysight Technologies, Inc. for $425 million. The deal is expected to add roughly $180 million of Network Service Enablement revenue in the first 12 months, be accretive to non‑GAAP EPS within 12 months, and was partially financed by a $600 million senior secured term loan led by Wells Fargo.

Keysight Technologies Acquires Spirent Communications plc

Keysight Technologies has completed its acquisition of Spirent Communications plc for approximately £1.16 billion (about US$1.46 billion) on a fully diluted basis. Spirent shareholders receive 202.5 pence per share (199p cash plus a 3.5p special dividend); Spirent will be integrated into Keysight’s Communications Solutions Group while certain Spirent business lines will be divested to satisfy regulatory conditions.

VIAVI Solutions Inc. signed a definitive agreement to acquire Inertial Labs, Inc. for $150 million in initial consideration with up to $175 million of contingent consideration over four years. The acquisition broadens VIAVI’s product capabilities in positioning, navigation and timing (PNT) and accelerates its entry into aerospace, defense and autonomous industrial end markets; it is expected to add about $50 million in NSE revenue in 2025 and be EPS-accretive within 12 months.

Keysight Technologies Acquires ESI Group

Keysight Technologies announced the successful result of its cash tender offer for ESI Group shares and will hold 98.2% of ESI's share capital following settlement. Keysight said it will request a squeeze-out of remaining shares at the same cash price (€155 per share); ESI is a France-based provider of predictive physics modeling and virtual prototyping software with ~1,000 employees and ~€130m in 2022 revenue.

Infineon Technologies completed the acquisition of Marvell Technology's Automotive Ethernet business for $2.5 billion in cash in mid-August 2025. Infineon will fold the operations into a new "Ethernet Solutions" business line to strengthen its automotive semiconductor portfolio and expects the business to generate $225–250 million in 2025 with a design-win pipeline of about $4 billion by 2030.
