VIAVI Solutions Acquires Spirent Communications

VIAVI Solutions has agreed to acquire Spirent Communications plc in an all-cash offer valuing Spirent at approximately £1,005 million (about $1,277 million), with Spirent shareholders to receive 172.5 pence per share plus a special dividend. The transaction, supported by a strategic convertible note investment from Silver Lake and committed debt facilities, is expected to close in the second half of 2024 subject to shareholder and regulatory approvals and is intended to create a leading provider of test, assurance and security solutions across service providers, data centers and mission-critical infrastructure.
