Bentley Systems completed the acquisition of Seequent Holdings Limited for approximately $900 million in cash plus 3,141,342 BSY Class B shares, adding Seequent's 3D geological modelling and cloud geodata capabilities to Bentley's infrastructure engineering software portfolio. The deal was a purchase of the majority stake previously held by Accel-KKR and is intended to expand Bentley's subsurface and geoscience capabilities across infrastructure, energy, and natural resources markets.

The acquisition adds AGS Workbench and related tools to Seequent's subsurface modeling ecosystem (Leapfrog), expanding capabilities for groundwater management, environmental monitoring, mining, and infrastructure risk assessment.

Bentley Systems' Seequent business unit has acquired Denver-based Advanced Resources and Risk Technology, LLC (AR2Tech), a developer of geostatistical software and algorithms. The acquisition adds AR2Tech's high-performance geostatistics algorithms, IP, and cloud/desktop workflows to Seequent's geological modeling solutions to strengthen capabilities for mining, environmental sciences, and energy users.

Bentley Systems Acquires Talon Aerolytics and Pointivo Technology

The deals (closed in December) expand Bentley's digital twin and AI capabilities for infrastructure asset inspections, drone data processing, and automated damage detection across telecommunications and electric utilities.

The deal expands Minitab's end-to-end manufacturing data capabilities—connecting machine-level operational data with quality analytics, OEE monitoring, and real-time SPC.

Bentley Systems Acquires Cesium

Bentley Systems has acquired Cesium, the open platform provider of 3D geospatial tools and the Cesium ion SaaS platform, to integrate Cesium's visualization and 3D Tiles standard with Bentley's iTwin digital twin offerings. Patrick Cozzi, Cesium's CEO, will join Bentley as chief platform officer to lead the combined platform; financial terms were not disclosed.
