The transaction brings issued and pending patents, proprietary germplasm, seed inventory, and key personnel into Nexus to accelerate development of hemp-derived natural ingredients for flavor, fragrance, and functional markets.

TerrAscend Acquires Hempaid, LLC (d/b/a Blue Ridge Wellness)

TerrAscend Corp. entered into a definitive agreement to acquire Hempaid, LLC (d/b/a Blue Ridge Wellness), a medical dispensary in Parkville, Maryland, for US$6.75 million (including US$3.0 million cash and a seller's note). The acquisition expands TerrAscend's Maryland retail footprint to three dispensaries ahead of the state's adult-use launch on July 1, 2023 and is expected to be immediately accretive to EBITDA and cash flow.

Arbor Investments Acquires Oregon Freeze Dry from Endeavour Capital

OFD, founded in 1963 and headquartered in Albany, Oregon, is North America’s largest freeze-dryer serving consumer (Mountain House), military, and B2B pharmaceutical/nutraceutical customers; terms were not disclosed.

GrowGeneration Corp. Acquires Healthy Harvest (Florida)

The Healthy Harvest owners will remain with the business as Director of Southeast Region and Director of Latin American Markets, extending GrowGeneration's footprint into Florida, Puerto Rico, the Caribbean and South America.

Abacus Health Products Acquires Harmony Hemp

Abacus Health Products acquired the principal assets of the companies owning the Harmony Hemp brand for aggregate consideration of US$5.5 million payable in cash and subordinate voting shares over 24 months. Harmony Hemp, based in Salt Lake City, is a CBD-infused personal care brand with distribution in more than 4,000 U.S. retail locations and generated approximately US$2.2 million of revenue in 2019; the brand's founders will join Abacus' senior management and the acquisition was completed through Abacus' wholly owned subsidiary Abacus Wellness, Inc.

Bayou City Hemp Company Acquires LeafLife Wellness

Bayou City Hemp Company, Inc., a Houston-based hemp processing and extraction company, has completed the acquisition of Leaf Life, Inc. (LeafLife Wellness), a Dallas-based CBD retail company that formulates, manufactures and distributes CBD-infused skincare, cosmetics and wellness products. The acquisition vertically integrates Bayou City Hemp’s supply chain—LeafLife will use Bayou City Hemp distillate and isolate—and expands the acquirer’s retail, white-label and online distribution capabilities; the deal is expected to be accretive to earnings.
