Charlotte's Web Acquires Abacus Health Products

Charlotte's Web Holdings, Inc. completed a plan of arrangement to acquire all outstanding shares of Abacus Health Products, bringing Abacus brands (CBD MEDIC, Harmony Hemp and CBD CLINIC) into Charlotte's Web and expanding the combined company's distribution to more than 21,000 retail doors. The transaction was an all-stock exchange (0.85 Charlotte's Web share per Abacus share) that creates cross-selling opportunities between Charlotte's Web's ingestible CBD products and Abacus's OTC topical medications and professional practitioner lines.

HempFusion Wellness Acquires Sagely Naturals

(Sagely Naturals), bringing the premium CBD brand and its distribution in more than 14,000 retail locations into HempFusion's portfolio. The all‑stock-and-cash transaction values the initial consideration at US$25.0 million with up to a US$5.0 million revenue-based earnout, and is expected to materially expand HempFusion's revenue and retail footprint.

Harmony Biosciences Acquires Zynerba Pharmaceuticals

Harmony Biosciences Holdings, Inc. agreed to acquire Zynerba Pharmaceuticals, Inc. in a cash tender offer of $1.1059 per share (approximately $60 million) plus one contingent value right (CVR) per share for up to $140 million of milestone-based payments (total potential consideration up to $200 million). The transaction, unanimously approved by both boards, is expected to close in Q4 2023 and will add Zynerba’s synthetic transdermal cannabidiol candidate Zygel and related rare neuropsychiatric programs to Harmony’s pipeline.
