HempFusion Wellness Acquires Sagely Naturals

HempFusion Wellness Inc. has completed its acquisition of Sagely Enterprises, Inc. (Sagely Naturals), bringing the premium CBD brand and its distribution in more than 14,000 retail locations into HempFusion's portfolio. The all‑stock-and-cash transaction values the initial consideration at US$25.0 million with up to a US$5.0 million revenue-based earnout, and is expected to materially expand HempFusion's revenue and retail footprint.

Abacus Health Products Acquires Harmony Hemp

Abacus Health Products acquired the principal assets of the companies owning the Harmony Hemp brand for aggregate consideration of US$5.5 million payable in cash and subordinate voting shares over 24 months. Harmony Hemp, based in Salt Lake City, is a CBD-infused personal care brand with distribution in more than 4,000 U.S. retail locations and generated approximately US$2.2 million of revenue in 2019; the brand's founders will join Abacus' senior management and the acquisition was completed through Abacus' wholly owned subsidiary Abacus Wellness, Inc.

Hempsana Holdings Ltd. Completes Acquisition of Hempsana Inc.

Hempsana Holdings Ltd. (formerly Stralak Resource Inc.) completed a previously announced three‑cornered amalgamation to acquire Hempsana Inc., making Hempsana a wholly‑owned subsidiary. The combined company will focus on manufacturing cannabis derivatives and extracts (including vapeables, topicals and infused consumables) from Hempsana's Health Canada standard processing licensed and EU‑GMP‑compliant facility; HHL's shares are expected to trade on the Canadian Securities Exchange under the ticker HMPS.

Cannabinoid Biosciences Acquires CannabidiolHemp

Cannabinoid Biosciences, Inc., a California-based biopharmaceutical subsidiary of Kid Castle, has acquired CannabidiolHemp (CannabidiolHemp.net), a CBD quality aggregator and validator. The purchase is the first of multiple planned acquisitions intended to build a vertically integrated CBD distribution and supply-chain business across the United States and Canada.

Vertical Wellness Merges with CanaFarma Hemp Products Corp.

Vertical Wellness has entered into a merger with publicly listed CanaFarma Hemp Products Corp., creating a combined company that will operate under the CanaFarma corporate entity while keeping the Vertical Wellness brand. Vertical Wellness management will run the combined business, which the companies say creates a public platform (valued at over $50 million at announcement) to scale a portfolio of CBD and hemp-related consumer brands and services.

UAPC INC. Acquires RVD Wellness, LLC

The deal coincides with the appointment of Rob Van Dam as UAPC's Chairman as the company moves to expand its cannabis/hemp product lines and distribution.
