HempFusion Wellness Inc. has acquired 100% of APCNA Holdings LLC (Apothecanna) for initial consideration of US$15.0 million, with up to US$10.0 million in additional milestone payments tied to revenue targets. The deal expands HempFusion's retail distribution (adding ~1,800 stores including CVS), bolsters its e-commerce presence, and is immediately accretive based on Apothecanna's ~US$3.8–4.0 million 2020 revenue.

BevCanna Enterprises Acquires Naturally Pure Therapy Products Corp.

BevCanna Enterprises Inc. entered into a share exchange agreement to acquire Naturally Pure Therapy Products Corp., a direct-to-consumer e-commerce retailer of natural health, nutraceutical and hemp-based CBD products. BevCanna will issue 30,000,000 common shares (deemed $0.20 per share; total deemed consideration C$6,000,000) in exchange for all issued and outstanding securities of Pure Therapy, providing BevCanna with an established e-commerce platform, ~22,000 customers and recurring subscription revenue to support launch and expansion of hemp-based CBD beverages into North America and Western Europe.

Vertical Wellness Merges with CanaFarma Hemp Products Corp.

Vertical Wellness has entered into a merger with publicly listed CanaFarma Hemp Products Corp., creating a combined company that will operate under the CanaFarma corporate entity while keeping the Vertical Wellness brand. Vertical Wellness management will run the combined business, which the companies say creates a public platform (valued at over $50 million at announcement) to scale a portfolio of CBD and hemp-related consumer brands and services.

PharmaCann Acquires LivWell Enlightened Health
