Abacus Health Products Acquires Harmony Hemp

Abacus Health Products acquired the principal assets of the companies owning the Harmony Hemp brand for aggregate consideration of US$5.5 million payable in cash and subordinate voting shares over 24 months. Harmony Hemp, based in Salt Lake City, is a CBD-infused personal care brand with distribution in more than 4,000 U.S. retail locations and generated approximately US$2.2 million of revenue in 2019; the brand's founders will join Abacus' senior management and the acquisition was completed through Abacus' wholly owned subsidiary Abacus Wellness, Inc.

The purchase is the first of multiple planned acquisitions intended to build a vertically integrated CBD distribution and supply-chain business across the United States and Canada.

HempFusion Acquires Apothecanna

The deal expands HempFusion's retail distribution (adding ~1,800 stores including CVS), bolsters its e-commerce presence, and is immediately accretive based on Apothecanna's ~US$3.8–4.0 million 2020 revenue.
