Vista Energy Acquires Petronas E&P Argentina (PEPASA)

Vista Energy, through its subsidiary Vista Energy Argentina S.A.U., acquired 100% of Petronas E&P Argentina S.A. (PEPASA) from Petronas Carigali Canada B.V. and Petronas Carigali International E&P B.V. The transaction consideration includes US$900 million cash, US$300 million in deferred cash payments and 7,297,507 ADSs of Vista; the acquisition gives Vista a 50% working interest in the La Amarga Chica (LACh) concession in Vaca Muerta, materially increasing its scale, production and midstream capacity.

Petro-Victory Energy and BlueOak Investments Acquire Capixaba Energia

Petro-Victory Energy Corp., in partnership with financial backer BlueOak Investments, has completed the acquisition of Capixaba Energia LTDA, a producing onshore oil and gas asset in the Espírito Santo Basin that is currently producing ~400 boe/d. Under the joint venture agreement Petro-Victory will operate the assets and hold an initially nominal equity interest that can increase to 20% and then 50% upon achievement of performance milestones, while BlueOak has funded initial payments and committed additional capital expenditures.

Vår Energi Acquires Neptune Energy Norge AS

Vår Energi ASA completed the acquisition of 100% of the shares in Neptune Energy Norge AS, strengthening its position on the Norwegian Continental Shelf and adding ~67 kboepd of production and ~265 mmboe of 2P reserves. The transaction was agreed at an enterprise value of USD 2.275 billion and closed on 31 January 2024 (effective date 1 January 2023); net cash consideration paid on completion (less cash in Neptune Norway) was approximately USD 1.2 billion. The deal increases Vår Energi's scale, operatorships and gas/LNG exposure and is inter-conditional with a separate transaction in which Eni acquires the remainder of Neptune's global assets.

The acquisition expands EPE's grid-planning and software-enabled capabilities across Latin America and advances the firm's regional presence and service offerings to utilities, developers, data centers and public-sector clients.

The acquisition, supported by PakEnergy's private equity partner Charlesbank Capital Partners, integrates Petrosight's drilling, completions, facilities and decommissioning modules with PakEnergy's existing land, field data capture, and accounting solutions.

Enterprise Products Partners L.P. completed the acquisition of Piñon Midstream, LLC, a Black Bay Energy Capital portfolio company, for $950 million in cash. Piñon provides sour natural gas gathering and treating services (including acid gas injection and carbon sequestration) in the eastern flank of the Delaware Basin, and the deal expands Enterprise's footprint and capabilities in that region.
