RCI Hospitality Holdings, Inc. (Nasdaq: RICK) closed the acquisition of Platinum West Gentlemen's Club in West Columbia, South Carolina for $8.0 million, comprising $5.25 million cash and $2.5 million seller financing for the club and $1.75 million cash for associated real estate. The purchase expands RCI’s portfolio of high-end adult nightclubs in the Southeast and will be integrated into the company’s marketing, purchasing and systems infrastructure.

RCI Hospitality Holdings, Inc. (Nasdaq: RICK) has closed the acquisition of Flight Club, a two-story, 10,000-square-foot gentlemen's club in Inkster (Metro Detroit). The purchase totaled $11.0 million (including $3.0M cash + $5.0M seller financing for the club and $3.0M cash for real estate); RCI expects the club to contribute roughly $2.0 million in annualized adjusted EBITDA and to benefit from RCI's marketing, purchasing and systems capabilities.

Xalles Holdings Acquires Private Loyalty Club Inc.

Xalles Holdings Inc. (OTC: XALL) will acquire Private Loyalty Club Inc. (PLC) in a share-exchange agreement, making PLC a wholly owned subsidiary of Xalles Financial Services Inc. PLC is based in Tampa, Florida and operates premium membership programs (Private Wine Club and Private Beauty Club) serving restaurants and merchants; Xalles says the acquisition will integrate PLC offerings with its Global Savings Network and payment/membership technology. The transaction was expected to close by July 31, 2022.

Sonesta International Hotels Corporation Acquires RLH Corporation

Sonesta International Hotels Corporation announced a definitive agreement to acquire RLH Corporation (NYSE: RLH), a franchisor with more than 900 hotels. The deal will expand Sonesta's scale and franchising capabilities, creating a combined company with roughly 1,200 hotels across multiple brands; the transaction is expected to close in the first half of 2021 and will be funded with cash-on-hand and/or capital contributions from Sonesta's shareholders.
