Lindab Acquires Vicon, US Manufacturer of Ventilation Duct Machinery

Sweden-based Lindab has signed an agreement to acquire Vicon, a US manufacturer of machines for rectangular ventilation ducts, boosting Lindab's US sales more than threefold and doubling its global duct-machinery sales. Vicon (headquartered in Bohemia, New York, with production in Pevely, Missouri and Meadville, Pennsylvania) has approximately SEK 260 million in annual sales and 64 employees; the acquisition is to be financed with Lindab's own funds and is expected to close in Q1 2024.

HANZA Acquires Leden Group Oy

HANZA AB has completed the acquisition of Finnish contract manufacturer Leden Group Oy for EUR 21 million in cash plus 2.3 million newly issued HANZA shares, with earn-outs of up to EUR 15 million and up to 300,000 shares. The deal adds roughly 600 employees and five production facilities (four in Finland, one in Estonia), strengthening HANZA's sheet metal, machining and complex assembly capabilities and broadening its customer base in energy storage, energy distribution and industrial automation.

Nederman Acquires RoboVent

Nederman Holding AB has acquired RoboVent (RoboVent Acquisition, Inc.) — a U.S.-based designer and manufacturer of industrial fume extractors, dust collectors and aftermarket filters — from Rensa Filtration/The Edgewater Funds for approximately SEK 430 million (about $41.9m). The deal expands Nederman’s North American footprint and product capabilities in industrial air filtration and aftermarket services.

Bergs Timber Acquires Hedlunda Holding AB

Bergs Timber AB has acquired all shares in Hedlunda Holding AB, a manufacturer of wooden furniture and components with production sites in Lycksele, Sweden and Skoczów, Poland. The acquisition (purchase price ~SEK 140 million for the shares; total purchase price SEK 225 million on a cash- and debt-free basis) expands Bergs's wood-processing capabilities and creates a new Furniture & Components product area; Hedlunda reported ~SEK 620 million in trailing twelve-month sales and employs about 400 people.
