Cabot Corporation Acquires Tokai Carbon (Tianjin) Co., Ltd Plant

Cabot Corporation has completed the acquisition of Tokai Carbon (Tianjin) Co., Ltd from the Tokai Carbon Group. The purchase expands Cabot's carbon black manufacturing capacity (site output ~50,000 metric tons annually) to support its Battery Materials product line and broader carbon black customers, with planned investments to upgrade the site to produce battery-grade conductive carbon additives.

Bain Capital has signed a definitive agreement to acquire Mitsubishi Tanabe Pharma Corporation (MTPC) in a carve-out from Mitsubishi Chemical Group Corporation for approximately 510 billion JPY (about $3.3 billion). The deal, led by Bain’s Private Equity teams in Asia and North America together with its Life Sciences group, will create an independent, standalone Japanese pharma platform focused on drug discovery and development across immunology, CNS, vaccines, diabetes and other priority areas; the transaction is expected to close in Q3 2025.

SWCC and Development Bank of Japan Acquire TOTOKU Inc. from Carlyle

Global investment firm Carlyle has agreed to sell TOTOKU Inc., a Japanese manufacturer of specialty wires and electronic devices, to SWCC Corporation and the Development Bank of Japan. The transaction (a Carlyle divestiture) is subject to customary approvals and was announced February 21, 2025 with closing expected by the end of March 2025.

Global cosmetics ODM/OEM group Nihon Kolmar Holdings (together with its TOA Inc. subsidiary, the “TOA Group”) has agreed to acquire 100% of Tokiwa Cosmetics Group from The Carlyle Group. Tokiwa, a Nakatsugawa, Gifu Prefecture–based cosmetics R&D and contract manufacturer founded in 1948, will join TOA Group to strengthen its manufacturing, R&D and global supply capabilities; terms were not disclosed.

Arkema Acquires Stake in Tiamat

Arkema has become a shareholder in Tiamat, a French start-up spun off from CNRS that develops sodium‑ion battery cells, participating in a €22 million fundraising alongside strategic investors Stellantis Ventures and MBDA. The funding will support Tiamat's plan to build a 5 GWh gigafactory in France (with an initial 0.7 GWh tranche targeted by end‑2025) and accelerate Arkema's development of battery‑materials solutions for lithium‑free storage technologies.

Komatsu, through its U.S. subsidiary Komatsu America Corp., agreed to acquire Detroit-based battery manufacturer American Battery Solutions (ABS), with the deal expected to close Dec. 1, 2023. Komatsu will integrate ABS' lithium‑ion battery technology to accelerate development of battery-powered construction and mining equipment while allowing ABS to operate as a stand‑alone business within Komatsu.
