Sun Valley Investments AG Increases Stake in Mineros S.A.

Sun Valley Investments AG completed a public offer to purchase 23,851,918 common shares of Mineros S.A. at COP 5,500 per share, acquiring the shares for COP 131,185,549,000 (approximately CAD $44.9M). The purchase increases Sun Valley’s ownership in Mineros from 57.42% to approximately 65.38%; Sun Valley says it will hold the shares for investment purposes and may further adjust or engage with the company over time.

Under the arrangement each Sabre share was exchanged for 0.693 Minera Alamos common shares (resulting in 76,499,114 Minera shares issued) and Minera filed an Early Warning Report reflecting its increase in beneficial ownership from 0% to 100%.

The April 1, 2025 agreement transferred Minera Cordilleras' capital contribution accounts (CUCAs), net operating losses and five Mexican mining concessions; Golden Minerals said all funds related to the sale have been received.
