Black Diamond Acquires Assets and Subsidiaries of IAP Worldwide Services

Black Diamond Capital Management and certain affiliates have acquired certain assets and operational subsidiaries of IAP Worldwide Services, Inc. The acquired operations — which will form a new platform led by former IAP CEO Amanda Brownfield — will employ over 1,400 people, operate in 17 countries, and focus on contingency operations, global logistics, air traffic management and engineering/technology solutions.

A fund managed by Macquarie Asset Management agreed to acquire a 40% minority equity stake (with an option to increase to 49%) in select U.S. Gulf Coast infrastructure assets of Dow Inc., forming a new joint-venture platform called Diamond Infrastructure Solutions. The assets—site utilities, power and steam production, pipelines, environmental operations and storage—span five Dow sites in Texas and Louisiana; the transaction provides Dow with cash proceeds (approximately $2.4bn initially, up to ~$3.0bn if Macquarie increases to 49%) and creates a specialist infrastructure operator to serve Dow and third-party industrial customers.

American Industrial Partners (AIP) has become the majority and controlling shareholder of Norway-based AquaShip AS and Intership AS and will merge the two companies into a single global aquaculture service vessel operator. Talweg Capital co-invested in the combined company; Alchemy sold its stake in Intership. The combined business will operate a fleet of 39 vessels with nearly 700 employees and serve salmon farmers across Norway, Scotland, Ireland, Chile, Canada, and the United Kingdom.
