Ventus Industrial Partners, in partnership with GenNx360 Capital Partners and Admiralty Partners, formed a new platform, Aeron Defense, and acquired General Tool Company and Magna Machine to create a consolidated defense manufacturing group. The Kramer family became minority shareholders in Aeron as the two Ohio-based machining and assembly businesses are unified to expand capacity and capabilities for major U.S. defense primes.

Palladyne AI Acquires GuideTech, Warnke Precision Machining and MKR Fabricators to Form Palladyne Defense

Palladyne AI (NASDAQ: PDYN) acquired GuideTech LLC and two Crucis companies — Warnke Precision Machining and MKR Fabricators — to create a vertically integrated defense division, Palladyne Defense, combining embodied AI, avionics engineering and U.S.-based precision manufacturing. The combined transaction (~$31M purchase consideration plus earnout potential) is expected to materially increase Palladyne's revenue and provide immediate production capacity and defense programs revenue.

Consolidated Machine & Tool Holdings (CMTH), a platform company backed by White Wolf Capital, acquired Delva Tool & Machine Corporation (DTM), a precision machining and contract manufacturing business based in Cinnaminson, New Jersey. The add-on expands CMTH's capacity and capabilities—adding advanced robotics and defense/aerospace customers—and provides DTM access to capital to support future growth; financial terms were not disclosed.

Hanover Investors Acquires Llanelec Precision Engineering

The investment—made via Hanover Active Equity Fund III—will see Hanover partner with CEO Spencer John to support Llanelec's growth and strategic development from its 120,000 sq. ft. manufacturing facility.

Alinabal Group Acquires ERW, Inc.

The acquisition expands Alinabal Group's domestic manufacturing footprint and adds in-house welding, fabrication and machining capabilities to support OEM customers across aerospace, defense and medical end markets.

Andra Tech Group Acquires Lemmens Metaalbewerking
