Ajax Defense, a veteran-owned holding company focused on strengthening U.S. defense supply chains, has acquired Whelan Machine & Tool from Gremada Industries. Whelan, a Louisville-based precision machining and assembly company serving aerospace and defense customers, was sold in a transaction facilitated by Alderman & Company; terms were not disclosed.

Vertex Aerospace, owned by private equity firm American Industrial Partners, agreed to acquire Raytheon Technologies' Defense Training and Mission Critical Solutions business lines, a group of businesses that generated approximately $1.0 billion in sales in 2020. The transaction (a divestiture by Raytheon Technologies) adds roughly 2,000 employees to Vertex, expands its training, mission-critical support and modernization capabilities, and broadens its government and commercial aerospace contract portfolio.

The acquisition, which closed on September 2, 2025, expands Machitech's U.S. manufacturing capacity, adds an experienced American team, and strengthens its local service and support footprint for fabricators nationwide.

Karman Space & Defense Acquires Five Axis Industries

Karman Space & Defense (NYSE: KRMN) acquired Five Axis Industries, an Arlington, Washington-based supplier of advanced nozzle and fuel system subsystems, for $83 million in cash plus approximately $5 million in Karman shares (about $88 million total). The acquisition, which closed October 28, 2025, expands Karman's propulsion and launch-system capabilities by adding proprietary nozzle, spun-form and 3D-printed Inconel technologies and was funded in part by an increase to Karman's Term Loan B.
