Select Energy Services Acquires Complete Energy Services from Superior Energy Services

Select Energy Services (NYSE: WTTR) acquired substantially all water-related assets and ongoing operations of Complete Energy Services, an operating subsidiary of Superior Energy Services, in exchange for 3.6 million shares of Class A common stock and $14.2 million in cash (subject to adjustments). The deal adds more than 300,000 barrels per day of permitted disposal capacity and brings over 700 field personnel to Select, expanding its footprint across the Permian, Mid-Continent, Rockies, Powder River Basin and the Marcellus/Utica regions.

Select Water Solutions (NYSE: WTTR) acquired three strategic produced-water infrastructure portfolios in the Haynesville Shale and the Rockies for approximately $90 million in cash, adding roughly 450,000 barrels per day of permitted disposal capacity across 21 active saltwater disposal wells, two slurry injection wells, and additional permitted recycling capacity. The transactions include the disposal assets and operations of Tri-State Water Logistics, LLC and substantially all assets of Iron Mountain Energy LLC, and additional Rockies disposal/recycling infrastructure, and are expected to be accretive to Select's Water Infrastructure segment while expanding its geographic footprint and treatment capabilities.

Select Energy Services, an SCF Partners portfolio company, acquired substantially all assets of Agua Libre Midstream, LLC and certain water-related assets and operations of Basic Energy Services, L.P. The deal adds more than 550,000 barrels per day of permitted disposal capacity across Texas, New Mexico, Oklahoma and North Dakota—roughly doubling Select’s produced-water disposal footprint to about 2 million barrels per day—and is an add-on to its water infrastructure platform.

Precision Drilling Corporation Acquires CWC Energy Services Corp.

Precision Drilling Corporation has entered into an agreement to acquire all issued and outstanding common shares of CWC Energy Services Corp. for approximately $141 million in total consideration (947,909 Precision shares valued at ~$88M, $14M cash, plus assumption of debt). The acquisition adds 62 marketed service rigs in Canada and 18 marketed drilling rigs (including 11 in the U.S.), and is expected to generate about $20 million of annual operating synergies while supporting Precision's deleveraging plan.

The deal (for Williams' nuclear, fossil, energy delivery and paper mill operations) excludes Williams' water contract operations in Florida and Texas and is intended to expand EnergySolutions' nuclear services and plant-support capabilities.

Energy Transfer Acquires WTG Midstream for $3.25 Billion

Energy Transfer LP agreed to acquire WTG Midstream Holdings LLC in a transaction valued at approximately $3.25 billion, comprising $2.45 billion in cash and ~50.8 million newly issued Energy Transfer common units. The deal, from affiliates of Stonepeak, the Davis Estate and Diamondback Energy, adds WTG's Permian-focused midstream assets — including a 6,000-mile pipeline network, eight processing plants (≈1.3 Bcf/d) and a 20% interest in the BANGL NGL pipeline — to Energy Transfer's footprint to enhance its gas/NGL supply, processing and downstream capabilities.
