MedX Holdings Inc. (OTC: MEDH) announced it has acquired Counterculture Brands Inc., a Delaware company that licenses and franchises the Lazydaze Counterculture and Coffeeshop brands. The deal adds cannabis licensing/franchising and related coffee-shop branding to MedX’s portfolio as the company plans to expand franchised locations nationwide and grow its vertically integrated cannabis-related brand offerings.

Tilray Brands Acquires HEXO Corp.

Tilray Brands, Inc. will acquire all issued and outstanding common shares of HEXO Corp. under a court-approved plan of arrangement, with HEXO shareholders receiving 0.4352 Tilray shares per HEXO share (implying US$1.25 per HEXO share based on a 60-day VWAP). The deal, announced alongside a waiver and amendment agreement to address HEXO's near-term covenant and liquidity issues, is intended to combine HEXO's cultivation and brand assets with Tilray's larger cannabis and CPG platform.

Medicure Inc., through its wholly-owned U.S. subsidiary Medicure Pharma Inc., agreed to acquire 100% of Marley Drug, Inc., a specialty mail-order pharmacy based in North Carolina, for an upfront USD $6.3 million plus contingent payments. Marley serves over 30,000 customers nationwide, generated approximately $7.0 million of revenue and more than $1.7 million of EBITDA for the 12 months ended October 31, 2020, and the acquisition expands Medicure's direct-to-patient distribution and specialty pharmacy capabilities in the United States.
