Constantia Flexibles Acquires Majority Stake in Aluflexpack AG

Constantia Flexibles, a Vienna-based packaging manufacturer and portfolio company owned by an affiliate of One Rock Capital Partners, has acquired approximately 57% of Aluflexpack AG and completed a tender offer for the remaining publicly held shares. The deal, which buys the stake from Montana Tech Components AG and Xoris GmbH, will lead to a squeeze-out and delisting as Constantia integrates Aluflexpack to expand its packaging capabilities and sustainable product offering across food and pharmaceutical markets.

One Rock Capital Partners (through an affiliate) has entered into a definitive agreement to acquire Constantia Flexibles from Wendel. Constantia is a global flexible-packaging manufacturer serving pharmaceutical, food and consumer-goods customers with roughly 7,650 employees across ~30 sites in 16 countries; One Rock said it will partner with management to pursue growth and operational improvements.

ProAmpac Acquires Euroflex to Strengthen Printed Film, Lamination and Pouching Capabilities in Ireland

ProAmpac, the Cincinnati-based flexible packaging company owned by Pritzker Private Capital, acquired Euroflex, a family-owned flexible printed film, lamination and pouching supplier based in County Donegal, Ireland. The undisclosed deal expands ProAmpac's manufacturing capabilities and European customer base—particularly in protein (meat, cheese, dairy), coffee, pet food and nutrition supplement packaging—while Euroflex will adopt the ProAmpac brand and continue operations in Donegal.

C-P Flexible Packaging Acquires Bass Flexible Packaging

C-P Flexible Packaging, a portfolio company of First Atlantic Capital, has acquired privately held Bass Flexible Packaging, Inc., expanding C-P’s capabilities in short-run, short-lead-time flexible packaging and entry into the confectionary and health & beauty end markets. The acquisition adds Bass’s premade pouches, stand-up pouches and shrink-sleeve capabilities to C-P’s North American footprint; terms were not disclosed.

Foundation Investment Partners (FIP), via its platform Sustainable Packaging, LLC, has acquired Paper Converters, Inc., a Walterboro, South Carolina manufacturer of spiral wound paper tubes, edge board and sheeting. The acquisition is an add-on to FIP's Sustainable Packaging platform and is intended to drive collaboration with sister company Amspak, improve supply chain continuity, and expand capability in sustainable paper packaging for textile and industrial customers in the Southeastern U.S.
