An affiliate of Pacific Avenue Capital Partners has completed the purchase of FLSmidth’s Cement business from FLSmidth & Co. A/S. The acquired business will operate under the new name Fuller Technologies and will continue supplying capital equipment, digital and aftermarket services to the cement and industrial sectors with planned investment to accelerate growth and product development.

H.B. Fuller Acquires Apollo and Fourny

H.B. Fuller has completed the acquisitions of Apollo, the United Kingdom's largest independent manufacturer of liquid adhesives, and Fourny nv of Belgium. The two businesses (projected combined purchase price $211 million) will be integrated into H.B. Fuller's Construction and Engineering Adhesives units to expand its roofing, construction and transportation adhesive capabilities across the UK and Europe, with expected annual run-rate synergies of $8 million by 2024.

Victaulic Acquires Utility Coatings & Fabrication (UCF)

Victaulic has acquired Utah-based Utility Coatings & Fabrication (UCF), adding a 21,000-square-foot manufacturing facility near Salt Lake City to expand its western U.S. manufacturing capacity. The deal, completed Feb. 7, enhances Victaulic's capabilities in the large-diameter pipe market and supports the company's strategy to manufacture more products in North America.

Fortuna Silver Mines Acquires Roxgold Inc.

Fortuna Silver Mines completed a court-approved arrangement to acquire all issued and outstanding shares of Roxgold Inc., with Roxgold becoming a wholly-owned subsidiary of Fortuna. The transaction issued 0.283 Fortuna shares and C$0.001 in cash per Roxgold share and creates a larger, growth-oriented intermediate gold and silver producer with expanded presence in the Americas and West Africa.

Micronics (Vance Street-backed) Acquires SOLAFT Filtration Solutions

The deal expands Micronics’ engineered filtration product portfolio and geographic footprint, enhancing its ability to serve demanding end markets such as mining, power generation and water/wastewater treatment.

The Gorman-Rupp Company Acquires Fill-Rite and Sotera (Tuthill Division)

The Gorman-Rupp Company (NYSE: GRC) completed the acquisition of Fill-Rite and Sotera, a division of Tuthill Corporation, for $525 million (approximately $445 million net of expected tax benefits). The purchase adds Fill-Rite's pumps, meters and fluid-handling product lines and manufacturing facilities in Fort Wayne, Indiana and Lenexa, Kansas to Gorman-Rupp's portfolio, funded with cash and new debt facilities.
