Tailwater E&P Acquires Non‑Operated Permian Basin Asset Package from Accelerate

Tailwater E&P LLC, the upstream platform of private equity firm Tailwater Capital, acquired an off‑market non‑operated working interest asset package in the Permian Basin from Accelerate Resources Operating LLC. The assets include more than 5,000 net leasehold acres and produce in excess of 5,000 net barrels of oil equivalent per day across the Midland and Delaware Basins, and Tailwater E&P hedged a significant portion of the production profile as part of the transaction.

Martin Water Midstream Acquires Corsican Midstream Permian Basin, LLC

Martin Water Midstream, LLC acquired all membership interests of Corsican Midstream Permian Basin, LLC, adding approximately 16,000 acres of surface use agreements (SUAs) in Martin County, Texas to its portfolio. The acquisition expands MWM's produced-water infrastructure and recycling capabilities—including pipeline gathering capacity and recycling facilities—and enables immediate investment in fixed-pipe infrastructure across the Strain Ranch.

Tailwater Capital Acquires NorTex Midstream Partners

Dallas-based private-equity firm Tailwater Capital agreed to acquire NorTex Midstream Partners LLC, a Houston-based natural-gas storage and midstream operator. The acquisition gives Tailwater ownership of NorTex’s underground storage capacity (about 36 billion cubic feet), a trading hub and roughly 83 miles of pipeline near the Dallas–Fort Worth area to support gas-fired power generation as a complement to renewable energy.

Western Midstream Partners Acquires Aris Water Solutions

Western Midstream Partners, LP (WES) completed its acquisition of Aris Water Solutions, combining Aris's produced-water gathering, recycling, transportation and disposal capabilities with WES’s midstream platform to expand water services in the Delaware Basin. Under the merger, Aris securityholders received a mix of cash and WES common units (approximately $415.0 million in cash in aggregate and ~26.6 million common units in equity), with final election results producing roughly 28% cash and 72% equity consideration.

Enterprise Products Partners Acquires Navitas Midstream

Enterprise Products Partners L.P. completed the previously announced $3.25 billion acquisition of Navitas Midstream Partners, LLC, giving Enterprise a foothold for natural gas gathering, treating and processing in the Midland Basin. Navitas' assets include ~1,750 miles of pipelines and over 1 billion cubic feet per day of cryogenic natural gas processing capacity backed by long-term contracts.

Permico Founders Acquires Assets of Permico Midstream Partners

The development-stage Houston midstream company — which focuses on transporting and processing natural gas liquids (NGLs) and marketing end products — sold its assets as part of a restructuring; GulfStar served as financial advisor to the trustee during the process.
