Bain Capital to Acquire Mitsubishi Tanabe Pharma in $3.3B Carve-Out

Bain Capital has signed a definitive agreement to acquire Mitsubishi Tanabe Pharma Corporation (Tanabe Pharma) in a carve-out transaction from Mitsubishi Chemical Group Corporation. The deal values Tanabe Pharma at approximately 510 billion JPY (~$3.3 billion) and is expected to close in the third quarter of 2025, subject to regulatory clearance and approvals.

SMBC Aviation Capital Acquires Goshawk Management Ltd.

SMBC Aviation Capital completed the acquisition of Dublin-based aircraft lessor Goshawk Management Ltd., creating the second-largest global aircraft lessor by number of aircraft and the largest Japanese-owned lessor. The combined business operates a portfolio of over 700 owned and managed aircraft (with additional new-technology narrowbody orders) and is positioned to benefit from a sector recovery through enhanced scale and funding advantages.

Bain Capital Private Equity Acquires Majority Stake in Mash Holdings

Bain Capital Private Equity agreed to acquire a majority stake in Tokyo-based Mash Holdings, the operator of fashion and lifestyle brands including gelato pique, SNIDEL and FRAY I.D. The firm said it will partner with Mash's management to strengthen the company's business foundation and accelerate medium- to long-term growth across its fashion, beauty and food brands.

A consortium led by Bain Capital Private Equity, together with Japan Industrial Partners (JIP) and Japan Industrial Solutions (JIS), closed a tender offer to acquire Hitachi Metals, Ltd. The investors said they will provide capital and management support to accelerate growth and pursue opportunities in areas such as electric vehicles; Hitachi Metals reported ¥942.7 billion in revenue and about 27,700 employees as of March 2022.
