Bowman Consulting Group Ltd. (NASDAQ: BWMN) has acquired Element Engineering LLC, a Lakewood, Colorado-based civil, water and wastewater engineering firm. The transaction, financed with cash, seller notes, and equity, is expected to add roughly $4.0 million in annualized net service billing run rate and immediately be accretive to Bowman while extending its water-wastewater capabilities and Colorado presence.

The deal (expected to close in early October 2023) will bring Excellence's staff into Bowman and is financed with cash, seller notes and equity; Bowman said the acquisition is immediately accretive and will initially operate at an annualized net service billing run rate of about $4.0 million.

(Bowman) has acquired SEI Engineering, LLC (operating as SEI Professional Services), a Paonia, Colorado-based provider of engineering, design and commissioning services for utility and commercial-scale solar and battery storage projects. The deal, financed with cash and seller notes, is expected to add approximately $1.5 million of annualized net service billing and strengthen Bowman's renewable energy planning, engineering and commissioning capabilities.

The stock purchase (with a Section 338(h)(10) election) is expected to add about $14 million of annualized net service billing and was financed with cash and notes, including an unsecured seller note and a convertible note.
