Las Vegas-based Golden Triangle Ventures (GTVH) will acquire Cargo Management Group of Miami to expand its trucking, brokerage and last-mile logistics capabilities and support operations for its wholly owned subsidiary Lavish Entertainment. The deal (terms undisclosed) brings a specialized freight provider with gaming-industry contracts and roughly $3 million of 2023 revenue into GTVH's logistics division as an add-on.

Innovative Food Holdings, Inc. (IVFH) entered into a definitive agreement to acquire 100% of the assets of Golden Organics, LLC for $1.75 million ($1.4M cash and a $350k five-year seller note). Golden Organics, a Denver/Golden, Colorado-based specialty organic food distributor with ~$6.8M trailing-twelve-month revenue and a 22,000 sq. ft. leased warehouse, will expand IVFH's product assortment, sourcing capabilities and customer base across foodservice, manufacturing and retail channels.

HempFusion Wellness Acquires Sagely Naturals

HempFusion Wellness Inc. has completed its acquisition of Sagely Enterprises, Inc. (Sagely Naturals), bringing the premium CBD brand and its distribution in more than 14,000 retail locations into HempFusion's portfolio. The all‑stock-and-cash transaction values the initial consideration at US$25.0 million with up to a US$5.0 million revenue-based earnout, and is expected to materially expand HempFusion's revenue and retail footprint.

Sonder Holdings Inc. completed its previously announced business combination with SPAC Gores Metropoulos II and will commence trading on the Nasdaq under ticker SOND. The deal included approximately $310 million of PIPE commitments from investors (including affiliates of GMII, Fidelity, BlackRock, Atreides and Senator) and provides access to $165 million of delayed draw notes to strengthen Sonder's balance sheet and fund growth.
