Thoma Bravo (via Morpheus Purchaser Inc.) to Acquire Magnet Forensics

Thoma Bravo, through a newly formed purchaser Morpheus Purchaser Inc., has signed a definitive arrangement agreement to acquire Magnet Forensics Inc. in an all-cash transaction valuing the company at approximately CA$1.8 billion. The deal (CA$44.25 per SV share for most holders) will take Magnet private and Thoma Bravo intends to combine Magnet with Grayshift to create an end-to-end digital investigations platform; certain founders/major shareholders will rollover a portion of their equity.

Magnet Forensics Acquires Griffeye

Magnet Forensics, a developer of digital investigation solutions based in Waterloo, Ontario, has acquired Griffeye, a Gothenburg-based leader in digital media forensics used by police agencies worldwide. The acquisition, completed August 10, 2023, will integrate Griffeye's Griffeye Analyze platform to strengthen Magnet Forensics' capabilities for processing and analyzing large volumes of images and video in child exploitation and other investigations; terms were not disclosed.
