Embed Financial Group Cayman Holdings (EFGH) filed an F-4 with the U.S. SEC for a proposed business combination with WinVest Acquisition Corp. The two-step merger would result in both EFGH and WinVest becoming wholly owned subsidiaries of a newly incorporated Cayman Islands exempted company (Pubco), which intends to list on the NYSE at an enterprise value of about USD 425 million.
