Avanos Medical Acquires OrthogenRx for $160M

Avanos Medical, Inc. has entered into a definitive agreement to acquire OrthogenRx, Inc. for $160 million ($130M cash at closing plus up to $30M contingent on milestones). The acquisition adds OrthogenRx's FDA-approved viscosupplementation products GenVisc 850 and TriVisc to Avanos' chronic pain portfolio to expand its continuum-of-care offerings for knee osteoarthritis patients.

Avanos Medical Acquires Nexus Medical

Avanos Medical has acquired Nexus Medical, a privately held maker of the TKO anti-reflux needleless connector based in Lenexa, Kansas. The purchase adds Nexus' IV therapy connector technology to Avanos' Specialty Nutrition Systems business to strengthen medication and nutrition delivery in high-acuity settings such as NICUs and PICUs.

SunMed (AirLife) Acquires Avanos Medical's Respiratory Health Business

SunMed (doing business as AirLife) agreed to acquire Avanos Medical's Respiratory Health business, including the BALLARD, MICROCUFF and endOclear brands and two manufacturing facilities in Mexico. The deal (announced June 8, 2023 and completed Oct 2023) expands SunMed's anesthesia and respiratory consumables portfolio and transfers related R&D and manufacturing capabilities from Avanos as part of Avanos' broader transformation.

Paragon 28 Acquires Disior

Paragon 28, Inc. has acquired Disior Oy, a Helsinki-based developer of 3D analytics and pre-operative planning software for complex foot and ankle anatomy. Paragon 28 paid $18 million at closing with up to $8 million in contingent future payments; the closing payment was funded by drawing on its existing term loan facility.

Intelerad Medical Systems Acquires Digisonics, Inc.

Intelerad Medical Systems, a Montreal-based medical imaging software provider backed by Hg, has acquired Digisonics, Inc., a Houston-based provider of cardiovascular and obstetrics/gynecology information and structured reporting systems. The acquisition will integrate Digisonics' reporting and clinical interpretation capabilities into Intelerad's enterprise imaging platform to eliminate silos, improve physician workflow efficiency, and strengthen Intelerad's hospital and health system offering.

Ingersoll Rand Acquires Dosatron International

Ingersoll Rand Inc. has acquired Dosatron International L.L.C. and Dilution Solutions L.L.C. for an all-cash upfront purchase price of approximately $90 million plus up to $15 million in potential future consideration. The Clearwater, Florida–based dosing pump and fluid-dosing systems business (about 45 employees) will join Ingersoll Rand's Precision and Science Technologies segment, expanding the company's digital and IIoT-enabled capabilities into controlled environment agriculture, hydroponics, horticulture, animal health, food safety and water treatment.
