PAI Partners and KIRKBI A/S have agreed to acquire Armacell from private equity funds managed by Blackstone, with PAI becoming the majority shareholder and KIRKBI increasing its stake to a significant minority. Armacell is a Luxembourg-headquartered manufacturer of flexible and engineered foams with 24 manufacturing facilities and over 3,000 employees; CEO Patrick Mathieu will remain in place. Terms are confidential and subject to regulatory approvals, and the buyers plan to support Armacell's growth, product innovation and global expansion.

Architect Equity Acquires AAR's Aerospace Composites Division (renamed Aeromatrix Composites)

Saint-Gobain Acquires Business Assets of International Cellulose Corporation

Saint-Gobain has acquired the business assets of International Cellulose Corporation (ICC), a Houston-based manufacturer of spray-applied, plant-fiber insulation and acoustical finishing systems. The assets — including Ecosorb International — will join CertainTeed's Commercial Building and Infrastructure business in North America, strengthening Saint-Gobain's sustainable insulation and fireproofing portfolio; ICC operates a manufacturing site in Houston with approximately 50 employees.

UAV Factory (AE Industrial Partners) Acquires Jennings Aeronautics

UAV Factory, a portfolio company of private equity firm AE Industrial Partners, has acquired Jennings Aeronautics (JAI) and will combine JAI's SUAS capabilities with UAV Factory's tactical UAV and ISR platform. The deal expands AEI's unmanned and autonomous platform by adding JAI's engineering, manufacturing and autonomous flight-control expertise; terms were not disclosed.

JAS Acquires International Airfreight Associates (IAA)

Aero Accessories Acquires AOG Accessories
