Funds managed by Wafra Inc. and NOVA Infrastructure acquired Hawthorne Global Aviation Services from Moelis Capital Partners. Hawthorne is a U.S. fixed-base operator (FBO) network with six locations offering fueling, hangaring and ancillary airport services; the investors plan to build a larger FBO platform and expand the company’s geographic footprint in corporate and general aviation.

Arcline Investment Management Acquires Hartzell Aviation

Arcline Investment Management, a growth-oriented private equity firm, has signed a definitive agreement to acquire Hartzell Aviation from Tailwind Technologies. Hartzell, headquartered in Piqua, Ohio, designs and manufactures aircraft propellers and engine accessories through its Hartzell Propeller and Hartzell Engine Tech business units; Arcline said the acquisition fits its strategy of investing in critical suppliers and will support the company's next phase of growth.

L3Harris to Acquire Aerojet Rocketdyne

L3Harris Technologies has signed a definitive agreement to acquire Aerojet Rocketdyne Holdings, Inc. for $58 per share in an all-cash transaction valued at $4.7 billion inclusive of net debt. The deal, financed with cash and new debt, will combine Aerojet Rocketdyne’s propulsion and energetics capabilities (about $2.3 billion in revenue and ~5,200 employees) with L3Harris to strengthen defense propulsion, hypersonics and missile-defense offerings; the transaction is expected to close subject to regulatory approvals in 2023.

Signature Aviation Acquires Fort Lauderdale Executive Jet Center

Signature Aviation has acquired Fort Lauderdale Executive Jet Center at Fort Lauderdale Executive Airport (FXE), adding the 10,000 sq. ft. main terminal and more than 100,000 sq. ft. of hangar and office space to its global network. The deal expands Signature's presence in South Florida—one of the busiest private aviation regions—and integrates FXE into Signature's 200+ location network with planned terminal modernization and rebranding.

H.W. Lochner Acquires Armstrong Consultants

The acquisition expands Lochner's aviation practice, broadens its geographic presence across the western United States, and adds Armstrong's airport planning, engineering, and construction administration capabilities to Lochner's service offering.

TJC (Resolute VI) Acquires L3Harris' Commercial Aviation Solutions (Acron Aviation)

An affiliate of The Resolute Fund VI (managed by TJC, L.P.) has closed the acquisition of L3Harris Technologies' Commercial Aviation Solutions (CAS) business for $800 million in cash. The CAS business — comprising an Avionics manufacturing unit and a Commercial Training Solutions unit — will operate under the new name Acron Aviation and serves commercial, business/regional and military aviation customers worldwide. The sale represents L3Harris' divestiture of a commercial-focused unit to focus on its core defense operations.
