L3Harris to Acquire Aerojet Rocketdyne

L3Harris Technologies has signed a definitive agreement to acquire Aerojet Rocketdyne Holdings, Inc. for $58 per share in an all-cash transaction valued at $4.7 billion inclusive of net debt. The deal, financed with cash and new debt, will combine Aerojet Rocketdyne’s propulsion and energetics capabilities (about $2.3 billion in revenue and ~5,200 employees) with L3Harris to strengthen defense propulsion, hypersonics and missile-defense offerings; the transaction is expected to close subject to regulatory approvals in 2023.

Versa Integrity Group Acquires Avion Solutions' Commercial UAS Operations

Versa Integrity Group, a Dorilton Capital-backed industrial inspection services platform, has acquired the commercial Unmanned Aircraft Systems operations ("Avion Commercial") of Avion Solutions. Avion Commercial — based in Huntsville, Alabama — provides drone imagery, inspection, data collection, and training services; Avion Solutions will retain its government services business. The deal expands Versa's non-destructive testing and inspection capabilities by adding unmanned aerial inspection services.

AlpInvest Leads TJC's $2.1B Continuation Fund to Acquire Five Resolute III/IV Portfolio Assets

TJC LP closed a $2.1 billion continuation fund that purchased five portfolio companies, including assets from The Resolute Fund III and one asset jointly owned with Resolute IV. The transaction was led by AlpInvest (a Carlyle subsidiary) and gives TJC and its portfolio companies additional capital and time to pursue growth while offering liquidity options to Resolute III and Resolute IV limited partners.

Oshkosh Corporation Acquires AeroTech Business from JBT Corporation for $800 million

Oshkosh Corporation agreed to acquire the AeroTech business from JBT Corporation in an $800 million all-cash transaction (approximately $720 million net of expected tax benefits). The acquisition expands Oshkosh into the air transportation support market, adds recurring aftermarket revenue and technology capabilities (electrification, autonomy, connectivity), and is expected to be accretive to earnings and deliver synergies of roughly $20 million run-rate by year three.

ACR Group Acquires FreeFlight Systems
