An investor group led by funds managed by affiliates of Apollo, together with J.F. Lehman & Company and Hill City Capital, acquired Atlas Air Worldwide for an enterprise value of approximately $5.2 billion, paying $102.50 per share in cash. Atlas Air Worldwide will become privately held and continue operating under its existing leadership to accelerate execution of its strategic plan and capitalize on long-term demand for global air cargo services.

An affiliate of The Resolute Fund VI (managed by TJC, L.P.) has closed the acquisition of L3Harris Technologies' Commercial Aviation Solutions (CAS) business for $800 million in cash. The CAS business — comprising an Avionics manufacturing unit and a Commercial Training Solutions unit — will operate under the new name Acron Aviation and serves commercial, business/regional and military aviation customers worldwide. The sale represents L3Harris' divestiture of a commercial-focused unit to focus on its core defense operations.

Volato Acquires Gulf Coast Aviation

Volato, a private aviation operator focused on HondaJet fractional ownership and charter services, has acquired Gulf Coast Aviation (GCA), an aircraft management and charter operator based at Atlantic Aviation at William P. Hobby Airport in Houston, Texas. The founders of GCA, Steve and Debbie Holmes, are retiring and Volato will retain all GCA employees as it expands its operational footprint and charter/fractional capabilities in the Houston market; terms were not disclosed.
