WELL Health Technologies Corp. agreed to acquire MyHealth Partners Inc. for C$206M in cash, shares and debt financing plus a contingent earn-out of up to C$60M, making WELL the largest outpatient medical clinic owner-operator in Canada and a leading multi-disciplinary telehealth provider. MyHealth operates 48 locations across Ontario (with ~75% of consultations via telehealth) and is expected to generate proforma revenues of approximately C$100M with ~20% EBITDA margins in 2021.

WELL Health Technologies exercised a previously negotiated call option concurrent with HEALWELL AI Inc.'s closing of its NZ$175 million acquisition of Orion Health, acquiring optioned common and multiple-voting shares of HEALWELL. Following the exercise, WELL holds approximately 37% of the economic interest and roughly 69% of the voting rights in HEALWELL and will hold the shares for investment purposes.

WELL Health Acquires INLIV to Expand Omni-Channel Executive Health Network into Alberta

WELL Health Technologies Corp. has entered into an asset purchase agreement to acquire the assets of INLIV Inc., a Calgary-based provider of primary care, preventative and corporate/executive health services. INLIV generated approximately CAD 7.3M in revenue for the 12 months ended April 30, 2022, has more than 50 staff and derives over 85% of revenue from recurring membership fees; the transaction consideration includes CAD 1,609,195 at closing plus a CAD 240,375 holdback and is expected to close in Q3 2022.

WELL Health Technologies Acquires Intrahealth Systems Limited

WELL Health Technologies Corp. agreed to acquire all outstanding shares of Intrahealth Systems Limited for approximately $19.25 million to expand its EMR product suite and accelerate international growth. The acquisition adds an enterprise-class EMR (Profile EMR) with strong recurring revenue (over 80%) and ~ $9M in trailing 12-month revenue, broadening WELL's footprint into New Zealand and Australia and enhancing cross-sell opportunities across the WELL EMR Group.

WELL Health Acquires Indivica Inc.

Indivica is a Toronto‑based provider of fully hosted OSCAR EMR software and services serving 390 clinics and over 2,000 physicians in Ontario; the deal expands WELL's EMR footprint to roughly 1,900 clinics and 10,000 physicians across Canada.

WELL Health Acquires Jack Nathan Medical Corp.'s Canadian Clinical Assets

WELL Health Technologies Corp. completed the acquisition of the Canadian clinical assets of Jack Nathan Medical Corp., adding a portfolio of owned and licensed clinics (rebranded as WELL Health Medical Centres) and rights to operate clinics in Walmart Canada locations. The deal expands WELL’s national clinic footprint (72 clinics in total per WELL’s release), adds physician capacity, and is expected to drive immediate synergies and EBITDA-positive performance in 2025.
