A consortium of Dutch pension asset manager APG and OMERS Infrastructure has agreed to acquire Groendus, a sustainable energy platform, from NPM Capital. Groendus — formed in 2021 from a consolidation of six companies — is headquartered in Utrecht, employs about 130 people, serves thousands of business, municipal and institutional clients, and will continue to be led by its current management team; financial terms were not disclosed.

H.I.G. Capital Affiliate Acquires DGS S.p.A.

An affiliate of H.I.G. Capital (via H.I.G. Europe) has acquired a controlling stake in DGS S.p.A., an Italian IT systems integrator and cybersecurity specialist based in Rome. The investment will support DGS’s next phase of development — pursuing organic growth and targeted acquisitions while founders Vincenzo Fiengo and Salvatore Frosina reinvest and remain in management.

TDR Capital Acquires Majority Stake in Acqua & Sapone from H.I.G. Capital

Funds managed by TDR Capital have acquired a majority stake in Acqua & Sapone from an affiliate of H.I.G. Capital, with the Barbarossa family and H.I.G. retaining a significant equity interest. Acqua & Sapone is Italy's leading non-food discount retailer, operating over 700 stores and generating roughly €1.1 billion in annual revenue; TDR says it will work with management and existing shareholders to continue the company's growth.

An affiliate of H.I.G. Capital has acquired a controlling stake in Cesar di Barbarossa Enio e F.lli S.r.l., Gruppo SDA S.r.l. Servizi Distribuzione Associati and VDM Vaccaro Distribuzione Merci S.r.l., which operate under the Acqua & Sapone brand. The Barbarossa family is reinvesting as a significant minority shareholder; the combined companies operate over 700 stores in Italy and generated more than €900 million of revenues in 2021. H.I.G. said the investment will support integration of the businesses and accelerate Acqua & Sapone's expansion across Italy.

Ontario Teachers' Acquires Majority Stake in Società Gasdotti Italia from Macquarie MIRA

Ontario Teachers' Pension Plan Board has agreed to acquire a 69.4% interest in Società Gasdotti Italia S.p.A (SGI) from Macquarie Infrastructure and Real Assets (MIRA) via Macquarie European Infrastructure Fund 4. SGI is Italy's largest independent gas transmission operator, and Ontario Teachers' says the investment aligns with its strategy to buy core regulated utility assets with predictable cash flows and to support the network's transition to renewable gases.

Starwood-led Consortium Privatises ESR Group

A consortium led by Starwood Capital Group, Sixth Street and SSW Partners, with Warburg Pincus, Qatar Investment Authority and ESR's founders, completed a take-private of ESR Group Limited. The privatisation (valued at ~HK$55.2 billion / US$7.11 billion in the proposal) is intended to accelerate a strategic transformation—simplifying the portfolio, refocusing on logistics and data centres, and executing long-term initiatives in a private setting.
