Klöckner & Co, through its U.S. subsidiary Kloeckner Metals Corporation (KMC), has acquired Industrial Manufacturing Services (IMS), a Lancaster, South Carolina-based metal fabricator. IMS, which operates a single facility with about 100 employees and annual sales around USD 30 million, will expand KMC’s fabrication, welding and just-in-time warehousing capabilities across North America; financial terms were not disclosed.

The two businesses (combined estimated 2022 revenue of $28 million and ~80 associates) will continue to operate under their current names as MSC companies and expand MSC's metalworking and manufacturing capabilities in the Midwest.

Karman Space & Defense Acquires Seemann Composites and MSC

Karman Space & Defense completed the acquisition of Seemann Composites and MSC, establishing a new Maritime Defense Systems end market and adding advanced materials, acoustic coatings and propulsion capabilities. The company amended its credit agreement to increase its incremental term loan to $772 million to fund the transaction and expects the deals to be immediately accretive to 2026 financial metrics.

(Goodyear, Arizona); both businesses will continue to operate under their current names as MSC companies. The two targets had combined 2023 revenues of slightly over $20 million and 58 associates; MSC said the acquisitions will be net neutral to fiscal 2024 net income and will expand MSC’s regional presence and specialty tooling/regrinding capabilities.

Kadant Inc. Acquires KWS Manufacturing Company, Ltd.

Kadant Inc. completed the acquisition of KWS Manufacturing Company, Ltd. for approximately $84 million in cash, financed primarily through borrowings under Kadant's revolving credit facility. KWS, based in Burleson, Texas, is a manufacturer of screw conveyors, screw feeders, slide gates, and bucket elevators serving food, chemical, and wood process industries; it has about 165 employees and reported $45 million in trailing twelve‑month revenue. The business will join Kadant's Material Handling reporting segment to expand product portfolios and internal capabilities.

Karman Space & Defense (Karman Holdings Inc.) acquired Metal Technology Inc. (MTI), a refractory-alloy specialist based in Albany, Oregon, for $90 million in cash. The deal expands Karman's advanced materials and manufacturing capabilities (including additive manufacturing, hot forging and specialized forming) and provides accelerated access to strategic and classified missile defense programs.
