Miotal to Be Listed on Nasdaq via Merger with Fifth Era Acquisition Corp I

Fifth Era Acquisition Corp I (FERA), a special purpose acquisition company, and SMT Holdings Limited (Miotal) entered into a definitive business combination agreement for a SPAC-style merger. Upon closing, a newly formed Cayman Islands holding company (“New Pubco”) will merge with FERA (with FERA surviving as a wholly owned subsidiary of New Pubco), and Miotal will become a wholly owned subsidiary of New Pubco, with the combined company expected to operate as “Miotal” and be publicly listed on Nasdaq.
