MHS Global and Fortna will combine to form a multinational e-commerce and logistics automation company, with Thomas H. Lee Partners (THL) remaining the majority owner. A wholly owned subsidiary of the Abu Dhabi Investment Authority (ADIA) will acquire a significant minority stake to support the combination, creating a scale player that pairs MHS's automation and systems-integration capabilities with Fortna's warehouse optimization software and services.

Hg, ADIA and CPP Investments acquire minority stake in IFS at €15 billion valuation

Hg has increased its stake in enterprise software provider IFS to become a co-control shareholder alongside EQT, as new minority investors — a wholly-owned subsidiary of the Abu Dhabi Investment Authority (ADIA) and the Canada Pension Plan Investment Board (CPP Investments) — buy shares from EQT, TA Associates and other minority holders. The transaction values IFS at over EUR 15 billion and supports the company’s continued AI-driven growth after surpassing €1 billion in ARR and more than 7,000 employees globally.

Forward Air to Combine with Omni Logistics

Forward Air Corporation will combine with Omni Logistics in a cash-and-stock transaction that creates a scaled expedited LTL and multimodal logistics platform with approximately $3.7 billion of combined adjusted revenue for the 12 months ended June 30, 2023. Omni shareholders will receive $150 million in cash plus Forward common and preferred stock (resulting in Omni shareholders owning ~37.7% of the combined company on a fully-diluted basis); the deal is expected to generate up to $125 million of run-rate EBITDA synergies and close in H2 2023 subject to approvals.
