General Atlantic and Stone Point Acquire HireRight for ~$1.7B

Investment funds affiliated with General Atlantic and Stone Point Capital completed an all-cash merger to acquire HireRight Holdings Corporation for an enterprise value of approximately $1.7 billion (cash consideration of $14.35 per share). HireRight, a Nashville-based provider of global background screening and workforce risk-management solutions serving roughly 37,000 customers, will be taken private and its common stock has ceased trading on the NYSE.

HireRight Holdings Corporation acquired a majority stake in Digital Trusted Identity Services, LLC (DTIS), an FBI-approved channeler that collects and processes biometric and biographical data and operates the Transportation Security Clearinghouse for airports. The deal gives HireRight native fingerprinting and biometric capabilities to bolster its background screening offerings across regulated industries such as aviation, healthcare, and financial services, while the American Association of Airport Executives (AAAE) retains a minority stake.
