CMOC Group Acquires Equinox Gold's Brazil Operations (Aurizona, RDM, Bahia Complex)

Equinox Gold completed the sale of its Brazil Operations — the Aurizona Mine, RDM Mine and Bahia Complex — to a subsidiary of CMOC Group for total consideration of up to US$1.015 billion (US$900 million cash up front plus up to US$115 million contingent). The proceeds will be used to repay a $500 million term loan and a $300 million Sprott loan, reducing Equinox Gold's net debt to approximately US$150 million and refocusing the company on its North American growth assets.

WhiteHawk Acquires PHX Minerals Inc.

WhiteHawk Income Corporation (together with WhiteHawk Energy, LLC) acquired PHX Minerals Inc. in an all-cash transaction valued at $4.35 per share (approximately $187 million including net debt). The deal expands WhiteHawk's minerals and royalties footprint—adding ~1.8 million gross unit acres and increasing exposure to Haynesville and SCOOP/STACK basins—and was completed via merger on June 23, 2025 following a successful tender offer.

Fortuna Silver Mines Acquires Roxgold Inc.

Amarillo shareholders will receive C$0.40 cash per share plus one share of a newly formed Lavras SpinCo (capitalized with C$10 million) that will hold Amarillo's Lavras do Sul project; the total transaction value is approximately C$164.5 million (excluding Lavras SpinCo assets).
