VSE Corporation Acquires Desser Aerospace from Graham Partners

VSE Corporation has completed the acquisition of Desser Aerospace from Graham Partners for total cash consideration of $124 million, with a concurrent sale of Desser's Proprietary Solutions businesses to the Loar Group for $30 million (resulting in a net cash outlay to VSE of $94 million). Desser is a global aftermarket distributor of specialty aircraft tires, brakes, batteries and an MRO provider with operations in California, Tennessee, the United Kingdom and Australia; VSE and Loar expect the transactions to expand geographic reach and aftermarket/MRO capabilities.

Pelican Energy Partners to Acquire GSE Solutions in All-Cash Deal

GSE Solutions (GSE Systems, Inc.) entered into a definitive all-cash merger agreement to be acquired by Pelican Energy Partners. Under the deal, Pelican will acquire all outstanding shares of GSE for an estimated $4.10 per share (later amended to $4.60 per share), with the transaction initially expected to close in Q3 or Q4 2024. The merger was subsequently closed on November 1, 2024, following approval by GSE shareholders.

SES S.A. Acquires Intelsat S.A. for $3.1 Billion

SES S.A. agreed to buy Intelsat S.A. by purchasing 100% of the equity of Intelsat Holdings S.a.r.l. for $3.1 billion, creating a more robust multi-orbit satellite operator. SES later completed the acquisition, integrating the companies into a strengthened global satellite operator with an expanded GEO/MEO fleet and broader connectivity solutions.

(GMSI), a secure networking and communications provider serving federal and commercial markets. The acquisition adds roughly 80 skilled employees and expands Dinocrates' capabilities into mission-critical communications, network engineering and secure mobility for defense and commercial customers.

DLH Holdings Corp. Acquires Grove Resource Solutions (GRSi)

DLH Holdings Corp. (NASDAQ: DLHC) acquired privately held Grove Resource Solutions, Inc. ("GRSi") of Bethesda, Maryland for $185.0 million to strengthen DLH's information technology and cybersecurity capabilities for federal customers. GRSi, a federal-focused IT, systems engineering and cybersecurity provider with ~700 employees, is expected to contribute approximately $140 million of annualized revenue and had a backlog of about $550 million at closing.
