The transaction represents the formation of a Swiss TIC platform (TIC Holding Schweiz) as Winterberg pursues a buy-and-build strategy in testing, inspection and certification services; Metron's CEO Alessandro Capone stays on with a meaningful stake, and Brütsch Rüegger Tools sold its holding.
