T-Mobile Acquires UScellular's Wireless Operations

T-Mobile US, Inc. has completed the acquisition of substantially all of UScellular's wireless operations and specified spectrum assets for approximately $4.3 billion after adjustments, consisting of $2.6 billion in cash and about $1.7 billion in assumed debt. The deal (closed August 1, 2025) adds roughly 4.4 million customers, ~4,400 towers and valuable low-band spectrum to T‑Mobile’s network while Array Digital Infrastructure (formerly UScellular) will retain a large tower portfolio and certain spectrum holdings.

T‑Mobile US / Deutsche Telekom Acquires Sprint from SoftBank (challenged in federal antitrust suit)

T‑Mobile US (controlled by Deutsche Telekom) completed its acquisition of Sprint, previously controlled by SoftBank Group, consolidating the U.S. wireless market from four national carriers to three. Plaintiffs filed a federal class action alleging the merger reduced competition and caused billions in higher wireless prices for consumers and businesses.

T-Mobile Acquires Octopus Interactive

The deal brings Octopus's rideshare advertising capabilities and audience reach into T-Mobile's ad-tech offering, powering drivers' devices on T-Mobile's network and expanding Marketing Solutions' out-of-home advertising inventory.

Momentum Telecom Acquires Altus Technology

Momentum Telecom completed its acquisition of Altus Technology, a Nashville-based provider of cloud-based unified communications solutions. The deal expands Momentum's UCaaS and managed network offerings and integrates Altus' team and customers into Momentum's global managed cloud services platform; terms were not disclosed.

Apax Partners and Warburg Pincus Acquire T-Mobile Netherlands for €5.1bn

Funds advised by Apax Partners and Warburg Pincus have agreed to acquire T-Mobile Netherlands Holding B.V. from Deutsche Telekom AG and Tele2 AB in a deal valuing the company at an enterprise value of €5.1 billion. Under the new ownership, T-Mobile Netherlands will become an independent Dutch company and the buyers plan to support management in accelerating network and fibre-to-the-home growth while continuing to expand its consumer and fixed-broadband customer base.

Mobileum Inc. Acquires Convene Networks

Mobileum Inc., a PE-backed telecom analytics and network solutions provider, has acquired Convene Networks to expand its 5G core capabilities and offer COTS 5G-in-a-box solutions for small carriers and private networks. The acquisition strengthens Mobileum's core network portfolio and brings Convene's GTP routing, HSS and EIR products and engineering team into Mobileum's Active Intelligence platform.
