WELL Health Technologies to Acquire Majority Control of HEALWELL AI Concurrent With HEALWELL’s Acquisition of Orion Health

WELL Health Technologies plans to amend and exercise its call right to acquire a majority controlling interest in HEALWELL AI (HEALWELL) concurrent with the anticipated closing of HEALWELL’s proposed acquisition of Orion Health on April 1, 2025. Following the exercise, WELL expects to begin consolidating HEALWELL from April 1, 2025 and to hold about 37% economic interest and about 69% voting interest in HEALWELL (non-diluted). Separately, HEALWELL completed the Orion Health acquisition on April 1, 2025 and WELL exercised the call right at the same time.
