Wencor Group Acquires PHS/MWA Aviation Services

Wencor Group has acquired PHS/MWA Aviation Services, a FAA/EASA-certified aircraft component repair station based in Temecula, California. The acquisition (terms not disclosed) expands Wencor's Soundair Aviation Services affiliate by broadening repair capabilities and international market presence; Alderman & Company Capital served as financial advisor to the sellers.

HEICO Corporation Acquires Wencor Group from Warburg Pincus and Wencor Management for $2.05B

HEICO Corporation agreed to acquire Wencor Group from affiliates of Warburg Pincus LLC and Wencor's management for $1.9 billion in cash and $150 million in HEICO Class A common stock (approximately $2.05 billion aggregate). Wencor—an aftermarket provider of FAA-approved aircraft replacement parts and component repair/overhaul services based in Peachtree City, Georgia with ~1,000 employees—will join HEICO’s Flight Support Group to expand product and service capabilities and realize synergies.

Precision Aviation Group Acquires World Aviation Corporation

(PAG), a GenNx360-backed aerospace MRO platform, has acquired Toronto-based World Aviation Corporation (WAC), a specialist in the rewind and repair of rotary and static electrical generator and motor sub-components. The deal expands PAG's MRO capabilities and Canadian footprint (adding a Toronto location and roughly 60 skilled technicians), supporting PAG's broader growth strategy under GenNx360.

AAR CORP. Acquires Aerostrat

AAR CORP. has acquired Seattle-based Aerostrat, a long-range aviation maintenance planning software provider, for $15 million plus contingent consideration of up to $5 million. The deal brings Aerostrat's Aerros product into AAR's Trax suite to expand Trax's ERP and long-range planning capabilities and continue to offer Aerros as a standalone solution to airlines, MROs, and cargo operators.

Platinum Equity Affiliate Acquires Wesco Aircraft and Combines It with Pattonair

An affiliate of Platinum Equity completed the acquisition of Wesco Aircraft Holdings Inc. for approximately $1.9 billion and immediately combined Wesco with Platinum Equity portfolio company Pattonair. The combination creates a roughly $2.4 billion, global aerospace supply-chain and distribution business headquartered in Valencia, California, with operations across 17 countries and more than 4,000 employees to expand scale, product breadth and supply‑chain capabilities.

Sunvair Aerospace Group Acquires Mingo Aerospace

Sunvair Aerospace Group, a portfolio company of Blue Sea Capital, has acquired Mingo Aerospace, an FAA-certified Tulsa-based provider of cargo loading system repairs and thermal spray coatings. Sunvair plans to invest in new capabilities and equipment to support Mingo's expansion; financing for the transaction was provided by NXT Capital and Barings.
