CommerceHub Acquires ChannelAdvisor for $23.10 per Share

CommerceHub agreed to acquire ChannelAdvisor Corporation for $23.10 per share in an all-cash transaction led by Insight Partners and supported by participating investors. The deal, which values ChannelAdvisor at a premium and will take the company private, combines CommerceHub's commerce network with ChannelAdvisor's multichannel ecommerce SaaS capabilities to expand marketplace, dropship, delivery and retail media offerings.

The asset sale is expected to close in SeaChange’s fiscal 2025 first quarter, subject to shareholder approvals, and SeaChange expects net proceeds of approximately $13–15 million while retaining its cash and NOLs.
