DB Schenker Acquires USA Truck

DB Schenker has completed its acquisition of USA Truck, acquiring all outstanding shares for $31.72 per share in cash. The deal values USA Truck at roughly $435 million (including assumed cash and debt); USA Truck will operate within DB Schenker's North America network and will no longer trade on NASDAQ.

Schneider National Acquires Cowan Systems, LLC

Schneider National, Inc. agreed to acquire Cowan Systems, LLC and affiliated entities for approximately $390 million in cash, plus separate real estate purchases of about $31 million. The Baltimore-based dedicated contract carrier — which operates roughly 1,800 trucks and 7,500 trailers across 40+ Eastern and Mid‑Atlantic locations — will become a wholly owned subsidiary to expand Schneider's Dedicated capacity and capabilities.

TFI International Acquires Daseke for Approximately $1.1 Billion

Knight-Swift Transportation Holdings agreed to acquire U.S. Xpress Enterprises for a total enterprise value of approximately $808 million, paying $6.15 per share; the transaction was approved by shareholders and closed on July 1, 2023. U.S. Xpress will continue to operate as a separate brand, with the Fuller family rolling over a portion of their equity into an approximately 10% interest in a new Knight-Swift subsidiary holding the business.
