DB Schenker has completed its acquisition of USA Truck, acquiring all outstanding shares for $31.72 per share in cash. The deal values USA Truck at roughly $435 million (including assumed cash and debt); USA Truck will operate within DB Schenker's North America network and will no longer trade on NASDAQ.

TransForce Group Acquires United States Truck Driving School (USTDS)

TransForce Group, majority owned by an affiliate of Palladium Equity Partners, acquired United States Truck Driving School (USTDS) in Denver and Colorado Springs, Colorado, with the sale finalized October 18, 2021. USTDS will retain its name and become part of The CDL School (a TransForce Group company), expanding TransForce's CDL training footprint and veteran placement programs as an add-on under Palladium's ownership.

Student Transportation of America Acquires Universal Transportation Systems

Student Transportation of America (STA) has acquired Universal Transportation Systems (UTS), a leading independent student transportation provider in Ohio. Northborne Partners served as exclusive financial advisor to UTS; financial terms were not disclosed. UTS operates more than 350 buses and vans and employs over 350 staff across terminals in the Cincinnati and Columbus metropolitan areas.

Knight-Swift Acquires UTXL, Inc.

Knight-Swift Transportation Holdings Inc. acquired 100% of UTXL, Inc., a Kansas City-based third-party logistics and truckload brokerage firm, for approximately $22.5 million. The deal expands Knight-Swift’s logistics and brokerage capabilities while preserving UTXL’s brand and independent operations and includes customary working capital adjustments and escrowed/deferred consideration.
