Acquisitions in Bulgaria

Advent signed a definitive agreement to acquire tbi bank, a tech-led challenger bank in Southeast Europe and a provider of payment plan solutions. Financial terms were not disclosed, and the transaction is subject to customary regulatory approvals.

AirHelp acquired flight compensation platform ClaimCompass to expand its global reach in air passenger rights and claims processing. The deal terms were not disclosed, and existing ClaimCompass customer claims are expected to continue to be processed, with new claims directed to AirHelp.

Dataciders has acquired Bulgaria-based full-service Data & AI consultancy ROITI to expand its customer base in the DACH region and deepen its expertise in energy & utilities, particularly energy trading and risk management (ETRM). The deal adds ROITI’s team of 90+ consultants and engineers and strengthens Dataciders’ technology capabilities around the Endur and Molecule platforms. Rivean Capital cited the transaction as another step in its buy-and-build strategy for Dataciders.

Semantic Web Company and Ontotext announced they have merged to create a new entity, Graphwise, positioned as a leading provider of knowledge graph and semantic AI technology. The combined company brings together Semantic Web Company’s PoolParty knowledge and content management capabilities with Ontotext’s GraphDB graph database and AI models to deliver an integrated enterprise Graph AI platform.

Pet Network International (PNI), a portfolio company of A&M Capital Europe, acquired Zoo Group Stefanov (ZGS) in Bulgaria and Zvjerinjak in Croatia. The deal expands PNI’s omnichannel pet care retail footprint in Southeast Europe, with ZGS stores consolidated under the Dr. Stefanov banner and Zvjerinjak stores converted to PNI’s Pet Centar banner.

The Rohatyn Group (TRG) completed the acquisition of electric bicycle producer Leader 96 EOOD (Leader) from KJK Capital. TRG will partner with CEO and founding-family member Dimitar Zlatanov to accelerate production and expand Leader’s e-bike product offering across Europe. Financial terms were not disclosed.

GAN Limited completed the acquisition of online casino game developer Silverback Gaming on undisclosed terms. The deal gives GAN exclusive global rights to distribute all current and future Silverback online casino games, strengthening GAN’s SuperRGS content suite and broader iGaming content acquisition strategy.

Waterlogic has acquired Pure Pro, a long-standing distributor of Waterlogic products in Bulgaria, to expand its direct presence in Central and Eastern Europe. Pure Pro, headquartered in Sofia, sells, leases and services mains-fed water dispensers, integrated taps, and air purification systems across multiple end markets. Waterlogic is backed by funds managed by Castik Capital, and the deal continues its buy-and-build strategy.

Yotpo announced the acquisition of SMSBump, an SMS marketing solution built for eCommerce brands. The deal expands Yotpo’s eCommerce marketing platform by adding integrated SMS capabilities alongside its existing products such as reviews, visual UGC, loyalty, and referrals. SMSBump will continue operating from its headquarters in Sofia, Bulgaria, which will become a Yotpo location.
