Acquisitions in Utah in 2018

ENSERVCO Corporation acquired all outstanding ownership interests of Adler Hot Oil Service, LLC for $12.5 million, with a combination of cash, a seller note, indemnity holdback and an earn-out. The acquisition expands ENSERVCO's frac water heating and hot oiling capabilities and geographic footprint (Bakken, DJ Basin, Green River, Marcellus/Utica) and is expected to be accretive to earnings and improve pro forma debt-to-EBITDA.

Global Partner Acquisition Corp. (GPAC), a special purpose acquisition company, completed a business combination with Purple Innovation, LLC, taking the comfort-technology mattress and home goods company public in February 2018. The deal renamed GPAC to Purple Innovation, Inc. and listed the combined company's common stock and warrants on NASDAQ, providing Purple with access to public markets and growth capital.
